1. Acceptance of Terms
By accessing and using tramitex.io (the "Site") and the services offered by Tramitex, operated by Gorilla Cargo, LLC ("Tramitex", "we"), you accept these Terms of Service in their entirety. If you do not agree with these terms, do not use our services.
2. Service Description
Tramitex is a document preparation and filing service for business formation and commercial transportation registrations. We prepare and file documents with state and federal agencies on your behalf, based on the information you provide. Our services include, among others: LLC, Corporation, and nonprofit formation; EIN acquisition; registered agent services; and DOT/FMCSA registrations for commercial carriers.
3. Tramitex is NOT a Law Firm
Tramitex is not a law firm and does not provide legal, tax, or accounting advice. The information provided on our site and during the formation process is general in nature and should not be construed as legal advice. For specific advice about your situation, consult with a licensed attorney, accountant, or tax advisor in your state.
4. Organizer Role
By using our formation services, you authorize Tramitex to act as the "Organizer" of your entity with the corresponding state. This role is exclusively that of filing the formation documents. Tramitex does NOT acquire ownership, control, or authority over your company. Once the state approves your entity formation, Tramitex's role as organizer ends completely. Tramitex's name may appear on public formation documents as organizer. You may request a Statement of LLC Organizer that formally terminates our role.
5. Fees and Payments
Prices shown on the Site are Tramitex service fees. State filing fees, federal fees (such as UCR or FMCSA operating authority), and other government charges are shown separately and added to the total. The EIN is free from the IRS; Tramitex charges a service fee for handling it. All payments are processed through Stripe. Your invoice and the charge on your statement will appear under Gorilla Cargo, LLC.
6. Refund Policy
If Tramitex has not started processing your order, you may request a full refund. Once documents have been filed with the state or federal agency, government fees paid are non-refundable, as they are charged by the corresponding agencies. Tramitex service fees may be partially refundable at our discretion depending on work performed.
7. Processing Times
Processing times shown on the Site are estimates and depend on the corresponding state and federal agencies. Tramitex does not guarantee approval times, as these are outside our control. Delays caused by government agencies, incomplete or incorrect information provided by the client, or rejections due to unavailable names are not the responsibility of Tramitex.
8. Client Responsibility
You are responsible for providing accurate, complete, and truthful information. Tramitex does not verify the accuracy of information provided beyond basic format reviews. You are responsible for keeping your company in compliance after formation, including annual reports, franchise taxes, registration renewals, and any other state or federal obligations. Tramitex may offer reminders as a courtesy, but final compliance responsibility is yours.
9. Limitation of Liability
To the maximum extent permitted by law, the total liability of Tramitex and Gorilla Cargo, LLC to you for any claim arising from these services is limited to the amount you paid for the specific service in question. Tramitex will not be liable for indirect, incidental, consequential, or punitive damages, including loss of income or business opportunities.
10. Privacy and Data Protection
Your personal information, including social security numbers and financial data, is handled in accordance with our Privacy Policy. We use industry-standard encryption and security practices. We do not sell your personal information to third parties.
11. Modifications
Tramitex reserves the right to modify these terms at any time. Changes will take effect upon posting on the Site. Continued use of our services after any modification constitutes your acceptance of the new terms.
12. Governing Law
These terms are governed by the laws of the State of Texas, without regard to its conflict of law principles. Any dispute will be resolved in the courts of Montgomery County, Texas.
